DIRECTOR'S KYC MANDATE
Annual regulatory requirement for all directors of registered companies in India. Ensure absolute transparency, maintain active DIN status, and avoid strict MCA penalties under the Companies Act, 2013.
Purpose & Eligibility of Director’s KYC
Director’s KYC (Know Your Customer) compliance is a non-negotiable annual regulatory requirement designed to maintain an accurate, verified database of all active directors in India. Its primary purpose is to enhance corporate transparency, prevent identity fraud, and enforce accountability in corporate governance under the Companies Act, 2013.
Eligibility: All individuals who have been allotted a Director Identification Number (DIN) and currently serve as directors must complete this process annually to keep their DIN active and valid.
Compliance Requirements: DIR-3 KYC vs. KYC-Web
Form DIR-3 KYC (Detailed)
This comprehensive form must be submitted by any director filing their KYC for the very first time, or if they need to update/change any personal information (like a new passport, mobile number, or address). It requires full document attachments and a Digital Signature Certificate (DSC).
Form DIR-3 KYC-Web (Simplified)
For subsequent years, directors who have already completed the detailed KYC once and have absolutely no changes to report in their personal information can file this simplified web-based form through basic OTP verification.
Step-by-Step Filing Process
- Step 1: Log securely into the official MCA portal and navigate to the MCA services section to select the appropriate DIR-3 KYC form.
- Step 2: Fill out the digital form precisely, providing all necessary details including your valid DIN, updated contact information, and current residential address.
- Step 3: Execute the mandatory dual-verification process. A unique OTP will be sent separately to your registered mobile number and email address.
- Step 4: Attach all required statutory documents and digitally sign the form using a valid Class-3 Digital Signature Certificate (DSC).
- Step 5: Submit the form electronically. An SRN (Service Request Number) will be generated for tracking.
📋 Required Document Matrix
To execute onboarding submissions without errors, match your documentation rules using our definitive compliance matrix. Separate criteria apply for Indian and Foreign Nationals.
| Document Type | Applicability | Statutory Compliance Rules |
|---|---|---|
| PAN Card | Indian | Mandatory primary identifier. The name, date of birth, and father's name on the PAN registry must match your active MCA database records exactly to clear automated validation checks. |
| Aadhaar Verification | Indian | A mandatory government-issued identification required for confirming identity records securely across the MCA registry [Aadhaar Digits Redacted for security compliance]. |
| Passport | Foreign | The absolute mandatory identifier for all foreign national directors. The document must be formally notarized or apostilled by competent authorities in the home country before portal entry. |
| Residential Address Proof | Both | A recent utility bill (electricity, water, broadband), bank profile statement, or formal rental agreement. Crucially, the document must not be older than two months from the date of filing. |
| Digital Signature (DSC) | Both | A valid, active Class-3 Digital Signature Certificate belonging explicitly to the director is strictly required to securely sign and authorize the Form DIR-3 KYC submission. |
| OTP Contact Channels | Both | An active personal mobile number and official email address are required to process mandatory real-time dual OTP authentication blocks directly on the government MCA servers. |
Filing Timelines & Severe Penalties
The Ministry of Corporate Affairs mandates a strict annual deadline for this compliance. Director’s KYC must be filed annually by September 30. If filed within this stipulated timeframe, the government fee is completely waived (₹0).
Consequences of Non-Compliance: Failure to meet the September 30 deadline results in the immediate deactivation of the DIN. Directors without an active DIN cannot legally operate, sign documents, or file returns for any company. To restore legal authority, a hefty statutory penalty of ₹5,000 must be paid for reactivation.
